Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Dental Source Holdings LLC ("Dental Source," "we," "us," or "our") governing your access to and use of the Dental Source website, platform, content library, tools, templates, downloads, documents, continuing education materials, and related services (collectively, the "Service").
Please read these Terms carefully. By creating an account, buying a subscription, accessing the Service, clicking to accept these Terms, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not access or use the Service.
1. Who may use the Service
The Service is intended for dental professionals, dental practice owners, dental team members, and other authorized practice personnel using the Service for professional education, clinical reference, documentation support, compliance support, operational planning, and practice management purposes.
- You must be at least 18 years old to create an account or purchase the Service.
- If you use the Service on behalf of a dental practice, company, or other organization, you represent that you have authority to bind that organization to these Terms.
- You are responsible for ensuring that all users under your account or practice comply with these Terms.
2. What Dental Source provides
Dental Source provides educational content, clinical reference materials, procedural checklists, handouts, policy resources, consent and document templates, business and financial calculators, onboarding materials, marketing resources, compliance tools, and practice management workflows for dental professionals and dental practices.
The Service is designed to support professional judgment and practice operations. It is not a substitute for individualized clinical judgment, legal advice, financial advice, accounting advice, regulatory advice, payer guidance, or consultation with a qualified professional who understands your specific facts and jurisdiction.
3. Professional responsibility
You are solely responsible for all decisions, actions, omissions, documentation, patient communications, clinical care, billing practices, employment practices, regulatory compliance, and business decisions made in connection with your use of the Service.
- Dental Source does not diagnose, treat, prescribe, establish a standard of care, or create a provider-patient relationship.
- You must independently verify all information before applying it in a clinical, operational, legal, financial, billing, or compliance context.
- You must adapt templates, protocols, and forms to your practice, patients, applicable laws, payer requirements, licensure rules, and professional obligations.
- You remain responsible for obtaining informed consent, maintaining records, protecting patient information, and complying with dental board, HIPAA, OSHA, employment, advertising, insurance, tax, and other applicable requirements.
4. No legal, medical, financial, or billing advice
Content available through the Service is provided for educational and operational support only. Dental Source does not provide legal, medical, dental, accounting, tax, investment, insurance, coding, reimbursement, or financial advice. You should consult licensed counsel, accountants, consultants, billing specialists, clinical advisors, or other qualified professionals before relying on any material in a regulated or high-stakes setting.
5. Patient information and PHI restrictions
The current version of the Service is not intended to collect or store patient-identifiable health information ("PHI"). Do not enter patient names, dates of birth, addresses, phone numbers, medical record numbers, photographs, radiographs, treatment details tied to an identifiable patient, or any other patient-identifiable information into the Service unless Dental Source has expressly agreed in writing to support that use case.
- Generated documents and templates should be completed, stored, and maintained within your own HIPAA-compliant systems and local practice workflows.
- If your intended use requires processing PHI, contact us before using the Service for that purpose. A Business Associate Agreement (BAA) may be required.
- You are responsible for any PHI or sensitive information that you or your users enter into the Service contrary to these Terms.
6. Accounts, credentials, and security
You must provide accurate, current, and complete account information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Do not share individual login credentials with another person.
- Use a strong password and protect access to your email and devices.
- Notify us promptly if you suspect unauthorized access or account misuse.
- We may require password resets, revoke sessions, suspend access, or take other reasonable steps to protect the Service, users, or Dental Source.
7. Practice subscriptions and team access
A subscription gives the purchasing account or authorized practice access to the Service according to the plan, seat limits, role permissions, and features shown at checkout or within the product. Unless we agree otherwise in writing, access is limited to your own practice or organization and may not be shared with unrelated practices, outside consultants, vendors, competitors, or third parties.
You are responsible for adding and removing team members, assigning appropriate roles, and ensuring that former employees or unauthorized personnel no longer have access.
8. Subscriptions, auto-renewal, and billing
The Dental Source platform membership is $997 per year, billed in advance through our payment provider, Stripe. Unless stated otherwise at checkout, the membership is an automatically renewing annual subscription. At the end of each one-year term, it renews for another year and your payment method is charged the then-current annual price until you cancel.
- By purchasing a subscription, you authorize Dental Source and Stripe to charge your payment method for recurring subscription fees, taxes, and any other amounts disclosed at checkout.
- If a payment fails, we may retry the charge, request updated payment information, suspend access, or cancel the subscription.
- We may change pricing or plan features, but price changes for existing subscriptions will apply only as permitted by law and after any notice required by law.
- We will send renewal reminders or other notices where required by applicable automatic renewal laws.
9. Cancellation and refunds
You may cancel your annual subscription at any time from the Billing page by selecting the manage or cancel subscription option. Cancellation takes effect at the end of the then-current paid term, and your access continues until that date unless your account is terminated for violation of these Terms.
Fees are non-refundable except where required by law or where we expressly state otherwise in writing. We honor all rights provided under applicable automatic-renewal, consumer-protection, and refund laws.
10. One-time purchases and CE Curriculum
The CE Curriculum and any other product identified at checkout as a one-time purchase are not subscriptions and do not auto-renew. One-time purchases may have their own access periods, completion requirements, certificate requirements, or other terms shown at the time of purchase or in the product experience.
Continuing education materials are provided for educational purposes. You are responsible for confirming whether any course, certificate, credit, or documentation satisfies the requirements of your state board, professional association, employer, payer, or other governing body.
11. Taxes
Prices may not include applicable taxes unless stated otherwise. You are responsible for any sales, use, value-added, or similar taxes associated with your purchase, except taxes based on Dental Source's income. Stripe or another payment provider may calculate and collect taxes where required.
12. Acceptable use
You agree not to misuse the Service. Prohibited activity includes:
- sharing, selling, sublicensing, reselling, leasing, or distributing access;
- copying, scraping, bulk downloading, republishing, or using content to build a competing product or dataset;
- removing copyright, trademark, confidentiality, attribution, or proprietary notices;
- attempting to bypass authentication, payment, seat limits, security controls, rate limits, or access restrictions;
- probing, scanning, penetration testing, or stress testing the Service without written authorization;
- uploading malware, malicious code, unlawful content, infringing content, or sensitive information you are not authorized to provide;
- using the Service for spam, deceptive marketing, unlawful advertising, harassment, or activity that violates professional rules;
- using automated tools, bots, crawlers, or scripts in a way that burdens or disrupts the Service; or
- interfering with another user's account, data, or use of the Service.
13. Your content and practice information
You may enter practice information, account details, branding information, preferences, notes, settings, and other non-PHI content into the Service ("Your Content"). You retain ownership of Your Content. You grant Dental Source a limited license to host, process, display, transmit, and use Your Content as needed to provide, secure, support, and improve the Service.
You represent that you have all rights and permissions needed to provide Your Content and that Your Content does not violate law, infringe third-party rights, or include PHI or other restricted information unless expressly permitted in writing.
14. Dental Source content and license
The Service, including its text, videos, tools, templates, workflows, software, user interface, graphics, curriculum, protocols, checklists, calculators, documents, branding, and other materials, is owned by Dental Source Holdings LLC or its licensors and is protected by intellectual property laws.
During an active subscription or applicable access period, Dental Source grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and its content for your own internal professional, educational, and practice operations. No ownership rights are transferred to you.
15. Templates, downloads, and generated documents
You may use templates, downloads, and generated documents within your own practice or organization for internal operational, educational, documentation, patient communication, and practice management purposes. You may modify them for your practice's needs.
- You may not sell, publish, distribute, package, or commercialize Dental Source templates as standalone products or as part of a competing offering.
- You are responsible for reviewing, approving, adapting, and validating all generated documents before use.
- Generated output may be incomplete, inaccurate, outdated, or unsuitable for your facts, jurisdiction, patient, payer, or practice.
16. Third-party services
The Service may rely on or link to third-party services such as Supabase, Stripe, Resend, hosting providers, analytics providers, email services, or external resources. Third-party services are governed by their own terms and privacy policies. Dental Source is not responsible for third-party services, websites, outages, data handling, content, or business practices.
17. Availability and changes to the Service
We work to keep the Service useful and available, but we do not guarantee uninterrupted, error-free, or permanent access. We may add, remove, suspend, limit, replace, or modify features, content, tools, pricing, plans, or integrations at any time. We may perform maintenance, updates, migrations, or security work that affects availability.
18. Beta, experimental, or AI-assisted features
Some features may be labeled or function as beta, experimental, preview, automation, or AI-assisted features. These features may produce incomplete, inaccurate, or unexpected results and may change or be discontinued at any time. You are responsible for reviewing and verifying any output before relying on it.
19. Compliance and regulatory limitations
Dental practices are subject to federal, state, and local laws and professional rules that vary by location and change over time. You are responsible for determining whether and how Service materials apply to your practice, including requirements related to HIPAA, OSHA, informed consent, dental board rules, advertising, employment, supervision, delegation, infection control, prescribing, payer contracts, billing, and records retention.
20. Feedback
If you send us ideas, suggestions, requests, improvements, corrections, or other feedback, you grant Dental Source the right to use that feedback without restriction, obligation, or compensation to you. We appreciate feedback, but you should not submit confidential, proprietary, or patient-identifiable information through feedback channels.
21. Copyright and intellectual property complaints
If you believe material in the Service infringes your copyright or other intellectual property rights, contact us at support@dentalsource.co with enough detail for us to identify the material and evaluate the concern. We may remove or disable content and may terminate repeat infringers where appropriate.
22. Suspension and termination
You may stop using the Service at any time. We may suspend, restrict, or terminate your account or access if we reasonably believe that you violated these Terms, created security or legal risk, failed to pay amounts owed, misused the Service, or used the Service in a way that could harm Dental Source, users, patients, third parties, or the public.
Upon termination, your right to access the Service ends. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property rights, disclaimers, limitations of liability, indemnity, governing law, and dispute provisions.
23. Disclaimers
To the maximum extent permitted by law, the Service and all content, tools, templates, documents, downloads, outputs, and third-party materials are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. Dental Source disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, and reliability.
Dental Source does not warrant that the Service will meet your requirements, produce specific outcomes, satisfy regulatory obligations, increase revenue, reduce risk, prevent claims, qualify for CE credit in any jurisdiction, or be error-free, secure, uninterrupted, or current.
24. Limitation of liability
To the maximum extent permitted by law, Dental Source Holdings LLC, its owners, officers, employees, contractors, licensors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost savings; business interruption; loss of goodwill; loss or corruption of data; clinical outcomes; regulatory penalties; payer disputes; malpractice claims; or other professional, legal, financial, or operational losses arising from or related to the Service or these Terms.
To the maximum extent permitted by law, Dental Source's total liability for any claim arising from or related to the Service or these Terms is limited to the greater of (a) the amount you paid to Dental Source for the Service during the 12 months before the event giving rise to the claim, or (b) $100.
25. Indemnification
You agree to defend, indemnify, and hold harmless Dental Source Holdings LLC, its owners, officers, employees, contractors, licensors, service providers, and affiliates from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Service, Your Content, your practice operations, your professional decisions, your violation of these Terms, your violation of law, or your infringement or misuse of third-party rights.
26. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law rules. Any dispute that is not subject to arbitration or small-claims handling must be brought in a state or federal court located in Ohio, and you consent to personal jurisdiction and venue in those courts.
27. Dispute resolution
Before filing a claim, you agree to contact us at support@dentalsource.co and attempt to resolve the dispute informally. Include your name, account email, a description of the issue, and the relief you seek. We will make a reasonable effort to respond and resolve the matter.
If a dispute cannot be resolved informally, the parties may pursue available remedies under applicable law. Nothing in these Terms prevents either party from seeking injunctive or equitable relief for unauthorized use of intellectual property, confidentiality breach, security abuse, or access misuse.
28. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as posting the updated Terms, updating the effective date, emailing the account owner, or displaying an in-product notice. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
29. Electronic communications
You agree that we may communicate with you electronically about your account, billing, subscriptions, renewals, security, legal notices, product updates, and support. Electronic notices satisfy any legal requirement that communications be in writing unless applicable law requires another method.
30. Miscellaneous
These Terms, together with the Privacy Policy and any checkout terms or product-specific terms presented to you, are the entire agreement between you and Dental Source regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
